This Agreement (the “Agreement”), dated as of 06/18/2026, is between InsideSources, LLC, (“InsideSources”) and the undersigned contributor (“the Contributor”) (each a “Party” or collectively the “Parties”). In consideration of InsideSources’ agreement to evaluate the article described above (the “Article”) for publication and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
1. The Contributor agrees to deliver the Article to InsideSources in accordance with any deadline set by InsideSources and in a written format acceptable to InsideSources. If the Contributor fails to meet the deadline and/or the format requirements, InsideSources has the right to decline to evaluate the Article for publication.
2. The Contributor expressly acknowledges that InsideSources specially ordered and commissioned the Article for use as a contribution to a collective work, and that the Article is considered a “work made for hire” as defined by the copyright laws of the United States. If for any reason the Article is not properly characterized as a “work made for hire,” then the Contributor hereby irrevocably transfers and assigns to InsideSources all right, title, and interest in the Article, including but not limited to all copyrights, any renewals and extensions, the right to sue for past, present, and future infringement, and the right to register the copyrights solely in InsideSources’ name.
3. InsideSources is not the employer of the Contributor and the Contributor will not be treated as an employee of InsideSources for federal tax purposes or for any other purpose.
4. The Contributor grants InsideSources a continuing, and perpetual right to print, publish, reproduce, or distribute the Article throughout the world in any tangible medium of expression by any method now known or hereafter developed, including electronic format, and to market or sell the Article, or any portion, thereof, at InsideSources’ sole discretion. By way of example only, InsideSources may combine the Article with articles by other Contributors or publish it as a stand-alone publication.
5. InsideSources grants to the Contributor a limited, worldwide, non-exclusive, paid-up,
royalty free license to: (a) print, publish, reproduce, or distribute the Article as a sample of the Contributor’s work (e.g., on the Contributor’s website and/or in the Contributor’s portfolio), provided that InsideSources is expressly and prominently credited as the original publisher of the Article, and to (b) create derivative works from the Article in writing about similar topics.
6. Nothing in this agreement obligates InsideSources to use, publish, or otherwise distribute the Article. Publication decisions are in InsideSources’ sole discretion.
7. The Contributor grants InsideSources the right to use the Contributor’s name (including any professional name heretofore or hereafter adopted by the Contributor), likeness, persona, and biographical information in a non-disparaging manner, in association with the Article in published form and in advertising and promotional materials, at its sole discretion. Nothing in this Agreement, however, obligates InsideSources to use the Contributor’s name or otherwise identify the Contributor as the author of the Article. Attribution decisions are in InsideSources’ sole discretion.
8. The Contributor agrees that InsideSources may modify, edit, and otherwise revise the Article as it sees fit and in its sole discretion.
9. The Contributor represents and warrants that: (a) the Article is the Contributor’s original Article or that Contributor has secured all appropriate permissions and licenses for any third-party content incorporated in the Article and that any such third-party content is appropriately attributed; (b) the Article does not infringe the copyright or property of another; (c) the Article contains no material which is obscene, libelous, defamatory, or knowingly violates a third party’s right of privacy or publicity; (d) the Article was not previously published by any third party, in whole or in part; and (e) the Contributor has full power and authority to enter into this Agreement and grant the rights herein. The Contributor agrees to indemnify, defend, and hold InsideSources and its affiliates and agents harmless against all claims, damages, losses, costs or expenses arising from or related to Contributor’s breach of any representations, warranties, covenants or other agreements set forth herein. The warranties, representations, agreements, or indemnities contained in this paragraph survive the termination of this Agreement.
10. This Agreement will be deemed to be executed in the Commonwealth of Virginia and construed in accordance with the law of the Commonwealth of Virginia, without regard to any conflict of law principles. The state and federal courts of the District of Columbia shall have exclusive jurisdiction over any dispute between the Parties hereto and the Parties agree that the venue for any dispute will be state and federal courts of the District of Columbia. In the event any provision of this Agreement is found to be illegal or unenforceable by a court of competent jurisdiction, then, in any such event, the provision so found will not affect the validity of the remaining portions and provisions of this Agreement.
11. This Agreement sets forth the entire understanding and agreement of the Parties hereto may not be altered, modified, canceled or terminated except upon the agreement of the Parties hereto in writing.
